Position Overview

The Assistant General Counsel will be responsible for assisting Arnold Ventures’ General Counsel with oversight of Arnold Ventures’ legal affairs. The successful candidate will be both a skilled generalist in the private foundation context and a content expert in one or more specific legal areas affecting Arnold Ventures. The Assistant General Counsel will be a proactive partner with a genuinely held belief that no task is too big or too small.

The Legal Team

The legal team helps Arnold Ventures advance its objectives by providing solutions-oriented, high-quality legal advice and counsel. Our team of professionals provides legal advice and services to Arnold Ventures’ board, leadership, and programmatic and administrative teams. Our work touches upon a wide range of substantive legal areas, including tax, corporate governance, intellectual property, and lobbying disclosure requirements. On any given day, the legal team might support complex grantmaking activity, structure consulting and vendor arrangements, advise on advocacy initiatives, negotiate operations contracts, assess cybersecurity practices, or support any other number of business activities.

Core Responsibilities

The responsibilities of the Assistant General Counsel are varied but are expected to include the following, as requested by the General Counsel:

  • Advise on laws applicable to private foundations, public charities, and social welfare organizations, including IRS lobbying, state and local lobbying laws, ballot initiative regulations, self-dealing, ethics rules, and campaign intervention regulations
  • Serve as the primary contact for specified programmatic teams
  • Draft guides and other materials for staff covering a variety of compliance areas
  • Refine and maintain internal policies and procedures
  • Provide or manage training to Arnold Ventures personnel as needed on grant terms and structuring conflicts of interest, federal, state, and lobbying rules and disclosures, campaign finance, and other topics, as appropriate
  • Draft, review, and negotiate a broad range of grant agreements, consulting agreements, and MOUs, and ensure consistency in each legal team member’s approach to same
  • Draft, review, and negotiate a broad range of operational contracts, including those with event venues, freelance journalists, and technology providers
  • Keep abreast of corporate governance “best practices” and implement same within Arnold Ventures
  • Track filing and reporting requirements and coordinate with outside counsel in respect thereof
  • Oversee work on expenditure responsibility and equivalency determination grants
  • Refine and create standardized templates, where appropriate
  • Oversee the management of Board and staff Conflicts of Interest policies
  • Serve as a thought partner to the Grants Management and Finance teams
  • Stay current on relevant developments in areas of the law affecting Arnold Ventures and its grantees

Minimum Qualifications

  • J.D. with a minimum of eight years of relevant legal experience
  • Prior law firm experience
  • Prior in-house experience
  • Significant experience navigating laws applicable to private foundations, 501(c)(4) social welfare organizations, and public charities
  • Significant experience performing at least the majority of “Key Responsibilities” described above
